What does a facility agent do?
A facility agent is the party, usually a bank or a specialist agency provider, appointed under a loan agreement to administer the facility on behalf of all the lenders. It is the central point through which the borrower and the lenders coordinate for the life of the loan.
The role
In a syndicated or club loan, several lenders sit behind one facility. Rather than each lender dealing with the borrower separately, they appoint a facility agent to run the administration for everyone. The agent does not lend its own view of the credit. It executes the mechanics the loan agreement sets out.
What the agent actually tracks
Day to day, the facility agent is coordinating a long list of moving parts:
- Conditions precedent: confirming they are satisfied before a drawdown is allowed
- Drawdowns and disbursements: processing utilisation requests and coordinating the flow of funds
- Covenants and reporting: tracking the information and compliance the borrower owes, and when it is due
- Waivers and consents: circulating requests to the lenders and recording the outcome
- Communications: acting as the channel between the borrower and the lenders
Every one of these is an obligation with an owner, a deadline and a status. The agent's job is largely keeping that picture straight across many parties.
Facility agent versus security agent
The facility agent administers the loan day to day. The security agent holds and, if it ever comes to it, enforces the security on behalf of the lenders. On larger deals these are separate appointments. On smaller ones a single party may do both.
Why one authoritative record matters
Much of an agent's effort goes into reconciling versions: which conditions are met, which reports are in, what the lenders have agreed. When each party keeps its own spreadsheet and the updates arrive by email, the agent spends time confirming the record before it can act on it. One list that every party treats as the record removes most of that.
Where Capital Governance fits
Capital Governance gives the facility agent, the developer and the funders a single obligations register to work from. The agent sees the same conditions precedent, covenants and reporting obligations as everyone else, each with its owner, due date and status, and the confirmation trail behind it. Instead of assembling the position from separate sources, the agent works from one record all parties share.
